Terms of Service

1. Agreement
These terms govern your use of the StackFast website and our software development services. By using our website or engaging our services, you agree to these terms. If you do not agree, please do not use our website or services.
2. Services
StackFast provides custom software development services including web applications, internal tools, customer portals, API integrations, and related technical work. The specific scope, timeline, and pricing for each project are agreed upon in a separate project proposal or statement of work before development begins.
3. Quotes and Pricing
- All quotes are fixed-price and provided in Australian Dollars (AUD) unless otherwise stated.
- Quotes are valid for 14 days from the date of issue.
- Work outside the agreed scope will be quoted separately and requires written approval before proceeding.
- Prices are exclusive of GST unless stated otherwise.
4. Payment Terms
- Quick Build — 50% upfront, 50% on delivery.
- Full Build — 3 milestone payments spread across the project as defined in the proposal.
- Growth Partner — Monthly billing in advance.
- Invoices are due within 7 days of issue unless otherwise agreed.
- Late payments may incur interest at 2% per month on the outstanding balance.
5. Code Ownership and Intellectual Property
Upon full payment, you receive complete ownership of all custom source code, designs, and documentation created for your project. This includes:
- Full source code and repository access
- Deployment configuration and documentation
- The right to modify, distribute, and use the code freely
We retain the right to use general knowledge, techniques, and non-proprietary tools developed during the project. We may also reference the project in our portfolio unless you request otherwise in writing.
6. Third-Party Services
Projects may incorporate third-party libraries, APIs, or services (e.g., hosting, payment processing, analytics). These are subject to their own terms and licensing. We will advise you of any significant third-party dependencies and associated costs during the scoping process.
7. Post-Launch Support
All projects include 2 weeks of bug fixes after launch at no additional cost. Bug fixes cover defects in the delivered software relative to the agreed scope. New features, design changes, and scope additions are not included and will be quoted separately.
8. Client Responsibilities
To ensure timely delivery, you agree to:
- Provide timely feedback and approvals during the build process
- Supply required content, credentials, and access to existing systems as needed
- Designate a primary contact person for project communications
- Review and test deliverables within a reasonable timeframe
Delays caused by late client feedback may extend the project timeline accordingly.
9. Limitation of Liability
To the maximum extent permitted by Australian law, StackFast's total liability for any claim arising from our services is limited to the amount paid for the specific project in question. We are not liable for indirect, consequential, or incidental damages including lost profits, data loss, or business interruption.
10. Cancellation
Either party may cancel a project with written notice. In the event of cancellation:
- You will be invoiced for work completed up to the cancellation date.
- Any paid-but-undelivered milestones will be refunded.
- You will receive all work completed to date, including source code.
11. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business processes, trade secrets, user data, and technical architecture. This obligation survives the termination of the engagement.
12. Governing Law
These terms are governed by the laws of Australia. Any disputes will be resolved in the courts of Australia.
13. Changes to These Terms
We may update these terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
